NIPC has tightened documentary review — plan the packet, not the filing

The Commission now checks beneficial ownership against CAC records before a file advances. Neither change is onerous; both punish a packet assembled in the wrong order.

Two adjustments to how the Nigerian Investment Promotion Commission reviews incorporation packets have changed the sequencing of a market-entry file. Neither is difficult to satisfy. Both are expensive to discover late.

What actually changed

Beneficial ownership evidence is now reconciled against the Corporate Affairs Commission register before a file advances, rather than at the certificate stage. Where a shareholder is itself a corporate body, the chain has to resolve to named persons on documents that agree with one another — a group structure chart that disagrees with the CAC filing by so much as a spelling will hold the file.

Sector permits are also being requested earlier. Previously a permit could follow incorporation; on current practice the reviewing officer wants sight of the application at least, and for regulated categories the permit itself.

What it means in practice

  • Assemble ownership evidence first, and reconcile it against CAC before anything is submitted.
  • Start the sector permit in parallel with incorporation rather than after it.
  • Budget for the reconciliation step. On a two-tier holding structure it is a week of work, not an afternoon.
A file that arrives complete moves. A file that arrives in pieces waits for the officer to have time for it a second time, and that is where the weeks go.

Where this leaves a Q4 entry

An entrant filing this quarter should treat the packet as a single deliverable with a fixed assembly order, not as a sequence of separate errands. We are running current files on that basis and the timelines have held.

If you are mid-file and unsure whether your ownership evidence will reconcile, send us the structure chart and the CAC filing. That comparison takes an hour and it is the cheapest hour in the process.

This matches what our counsel saw last month on a manufacturing file. Does the sector permit change apply to fintech categories as well, or only to the regulated industrials?

It applies to fintech too — CBN-licensed categories are being asked for the permit application at the same stage. The practical difference is that the CBN timeline is longer, so starting it in parallel matters more there than anywhere else. Happy to walk you through the sequence.

Useful, thank you. Is the reconciliation something you handle, or does it sit with local counsel?
